The short answer
Your Florida LLC's annual report is due May 1 each year. Filing opens January 1. It goes to the Florida Division of Corporations (Sunbiz).
If the report is never filed, Sunbiz administratively dissolves the entity in late September. That does not happen before then. Check your entity's actual status directly on sunbiz.org rather than assuming.
What it costs
- LLC annual report fee: $138.75
- Corporation annual report fee: $150
- Late fee after May 1: $400, and it cannot be waived

What happens if you miss May 1
The $400 late fee applies once you file after May 1. If the report is never filed, the entity is administratively dissolved in late September. We cannot tell you whether your specific entity has already been dissolved — that depends on facts we don't have. Confirm your status directly on sunbiz.org.
Other deadlines that come with running a Florida LLC
The annual report is not the only date that matters. Depending on your business, you may also have:
- Sales tax returns (if you collect sales tax): due the 1st, late after the 20th of the month following the period. Frequency depends on how much tax you collect. See Florida Department of Revenue.
- Reemployment tax (if you have employees): quarterly, due April 30, July 31, October 31, January 31. See Florida Department of Revenue — reemployment tax.
- Local business tax receipt: expires September 30 each year in most counties and cities, per Fla. Stat. 205.053.
- Workers' compensation coverage: required at 4 or more employees for non-construction businesses, and at 1 or more for construction. See Florida CFO — Division of Workers' Compensation.
- State professional or business licenses (contractors, cosmetology, real estate, restaurants) renew on their own schedule at MyFloridaLicense (DBPR).
- Federal beneficial ownership (BOI) reporting: as of FinCEN's March 2025 interim final rule, U.S.-formed companies are exempt — this rule has changed before, so confirm current status at FinCEN BOI.
